1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and KABD, LLC ("Company," "we," "us," or "our") concerning your access to and use of our website, applications, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. Description of Services

KABD, LLC provides healthcare technology solutions, including but not limited to:

  • Healthcare management software and solutions
  • Medical billing and revenue cycle management services
  • Software as a Service (SaaS) platforms
  • Medical clearing house services for claims processing
  • Medical equipment sales and support
  • Consulting and implementation services

3. User Accounts

To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

4. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use our Services in violation of any applicable law or regulation
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the integrity or performance of our Services
  • Transmit any viruses, malware, or other malicious code
  • Use our Services to transmit spam or unsolicited communications
  • Impersonate any person or entity or misrepresent your affiliation
  • Collect or harvest personal information without consent
  • Use our Services for any fraudulent or illegal purpose

5. HIPAA and Healthcare Compliance

As a healthcare technology provider, we are committed to maintaining compliance with the Health Insurance Portability and Accountability Act (HIPAA) and other applicable healthcare regulations.

Business Associate Agreement: If you are a Covered Entity under HIPAA and will be sharing Protected Health Information (PHI) with us, a separate Business Associate Agreement (BAA) must be executed prior to such disclosure.

Your Responsibilities: You are responsible for ensuring that your use of our Services complies with all applicable healthcare laws and regulations, including HIPAA, and that you have obtained all necessary consents and authorizations.

6. Intellectual Property Rights

Our Services and all content, features, and functionality (including but not limited to software, text, graphics, logos, and images) are owned by KABD, LLC or our licensors and are protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes in accordance with these Terms. This license does not include the right to modify, reproduce, distribute, or create derivative works from our Services without our prior written consent.

7. Payment Terms

For paid Services, you agree to pay all fees in accordance with the pricing and payment terms presented to you. Payment terms may be specified in a separate Service Agreement.

  • All fees are non-refundable unless otherwise specified
  • We may change our pricing with 30 days' notice
  • Late payments may incur interest charges and service suspension
  • You are responsible for all taxes associated with your use of our Services

8. Service Level Agreement

For enterprise customers, service level commitments may be specified in a separate Service Level Agreement (SLA). Standard service availability targets and support response times are outlined in our SLA documentation, which may be provided upon request.

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KABD, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless KABD, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of our Services, your violation of these Terms, or your violation of any rights of another party.

12. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use our Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or our Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our Services after such modifications constitutes your acceptance of the updated Terms.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and KABD, LLC regarding your use of our Services.
